BY-LAWS
of the
ROCKY MOUNTAIN REGION, INC.
NATIONAL COUNCIL OF CORVETTE CLUBS, INC.
Revised October 26, 2002

            SECTION 1. Definition

The Governor of each Club in the Rocky Mountain Region shall constitute the Board of Governors for the Rocky Mountain Region. Each Governor shall have one (1) vote at all Meetings of the Regional Board of Governors.

ARTICLE II

            SECTION 1. Attendance

Each Club may be represented by the Governor or his/her authorized representative with a written proxy. At least (3) Regional Governors Meetings must be attended in person or by proxy per year.

            SECTION 2. Representation

The Rocky Mountain Region will be made up of National Council of Corvette Clubs, hereafter referred to as N.C.C.C. Clubs in the States of Colorado, Montana, Utah, and Wyoming as well as all other Clubs designated to the Region by the Executive Board of N.C.C.C.

            SECTION 3. Meetings

The time and place of the Regional Governors Meetings shall be determined by the Regional Executive and all dates will be determined at the annual December Planning Meeting.

            SECTION 4. Notice of Meetings

The Regional Executive will notify each Governor of the time and place of the Meeting at least thirty (30) days prior to the date of such Meeting.  Four (4) Regional Governors Meetings per year must be held in the Region per the N.C.C.C. Rulebook* or By-laws.

            SECTION 5. Quorum

One-third (1/3) of the Region Governors shall constitute a quorum.

            SECTION 6. Event Dates

  1. The Regional Event Calendar will be set at the annual December Planning Meeting. There will be no conflicts with the N.C.C.C. Rulebook* or By-laws.
  2. Any events scheduled after the Planning Meeting causing a conflict must be voted by a majority (50%+1).
  3. Any N.C.C.C. event held within 100 miles of another N.C.C.C. event is considered a conflicting event.
  4. After the Planning Meeting events to be scheduled on open weekends will be on a first come first serve basis.

ARTICLE III

            SECTION 1. Officers

Officers of the Rocky Mountain Region shall consist of a Regional Executive, Regional Membership Director, Regional Competition Director and Regional Secretary/Treasurer.

            SECTION 2. Election of Officers

  1. Nominations will be made at the third Regional Governors’ Meeting of each year. The above named officers will be duly elected at the fourth Meeting each year.
  2. Only Governors, Proxy governors and Sealed Proxy Votes from Governors shall qualify to vote. A majority of the Governors or 50%+1 shall be required to elect any Regional Officer.
  3. Should more than three (3) people run for any office, a run off election shall take place to determine the three (3) members receiving the highest number of votes. These members shall then run for the office.
  4. The candidate receiving the highest number of votes shall be considered elected.

SECTION 3. Vacancies

Vacancy of any office during the fiscal year shall be filled by the process of nominations and election at the next regularly scheduled Regional Governors’ Meeting.

            SECTION 4. Removal

Any Regional Officer can be removed from office by the N.C.C.C. Executive Board upon receipt of a majority of written complaints from the Governors of his/her region.

          SECTION 5. Duties of Elected Officers

REGIONAL EXECUTIVE

The Regional Executive will call and preside at a minimum of one Meeting per calendar quarter for the purpose of conducting Regional business. The Regional Executive shall only cast votes and present motions at any Meeting of the Board of Governors on behalf of any Governor from his/her region who is not present. He/She shall have written consent signed and sealed by the Governor. The Governor must identify his/her Club number and sign the envelope. In the absence or disability of the Regional Executive, the Regional Competition Director shall perform the duties of the Regional Executive. The Regional Executive shall be the chief executive officer of the Region.

REGIONAL COMPETITION DIRECTOR

The Regional Competition Director shall be responsible for the conduct of the sanctioned competition events in his/her region. He/She will maintain all official N.C.C.C. results and standings for his/her region. Other and more specific duties not in conflict with the duties of the Regional Officers as outlined in this section are listed in the N.C.C.C. Rulebook*. In the absence or disability of the Regional Executive, the Regional Competition Director may perform the duties of the Regional Executive.

REGIONAL MEMBERSHIP DIRECTOR

The Regional Membership Director shall be responsible for promoting membership in the N.C.C.C. in his/her region. He/She shall be responsible for distributing the necessary N.C.C.C. membership literature and answer all questions regarding membership to interested persons in his/her region. In the absence or disability of the Regional Executive and the Regional Competition Director, the Regional Membership Director may perform the duties of the Regional Executive.

SECRETARY/TREASURER

The Regional Secretary/Treasurer shall keep a true and correct record of all Meetings and such other records as may be determined by the Regional Board of Governors.  He/She shall have charge of and conduct all correspondence of the region.  He/She shall read, publish and mail the minutes of each Regional Meeting of the Board of Governors to each of the Governors for their approval.  He/She shall read all correspondence received by the Region to the Governors at the Regional Governors' Meeting.  He/She shall disburse funds only on warrants approved by the majority of all Governors.  He/She shall deposit in a reliable bank, in the name of the Region, all money belonging to the Region no later than one week after such money is collected.  The Treasurer shall, at the close of his, her term of office, make a true and correct report of all financial transactions to all officers and members of the Board of Governors.

CLUB GOVERNOR

You, as Governor, will find that through contact with other Clubs, you can exchange many helpful hints on the operation of a Club. You are a reflection of your Club; by your actions other N.C.C.C. people form an image of your Club. You should be helpful in selling other Corvette Clubs to join N.C.C.C.

  1. Each Governor should attend National and Regional Governor Meetings. N.C.C.C. requires attendance at a minimum of three (3) National Meetings per year. Requirements may be met by sending an alternate from the Club or through proxy with the Regional Executive. A Governor is his Club’s link with it’s governing body. It is his responsibility to know and understand the working mechanics of the National and Regional Organization and to maintain an open and informative dialogue between each level.
  2. At the first of the year, give a short history of N.C.C.C., the National Convention, Blue Bars and other advantages of being a member of N.C.C.C.
  3. Urge all N.C.C.C. members to buy N.C.C.C. items.
  4. Obtain all questions that the members want answers on at the Meetings.
  5. Present a summary of the National and Regional Governors’ Meetings at the monthly Club Meeting.
  6. Submit articles and photos to Blue Bars on your sanctioned events and/or any interesting information.
  7. Correspond with the National and Regional Officers on any problems or questions that might arise.
  8. Introduce your members to the National and Regional Officers.
  9. Keep National and Regional Officers informed of any changes of your Club officers so that you will receive all correspondence from the National and Regional Officers.
  10. Renewals are due by December 15th. Make sure checks are payable to N.C.C.C., no personal checks.
  11. Report immediately any changes of names and/or addresses to the Membership Director of the Region and the Vice President-membership.
  12. Have membership forms on hand to sign up new members and spouses.
  13. Announce upcoming sanctioned events and encourage your Club to attend.
  14. Urge members to be active as workers as well as in competition.
  15. You are responsible to have your Club follow the Competition Rulebook on notices, sanction requests, results, classes and above all SAFETY.

ARTICLE V

            SECTION 1. Reimbursement of Expenses

The Regional Executive, Regional Competition Director, and the Regional Membership Director shall be entitled to reimbursement by the Regional Secretary/Treasurer for the expenses of one room and any airline ticket overrate, not paid for by N.C.C.C., incurred in the attendance of any regularly scheduled N.C.C.C. Board of Governors Meetings, with the exception of the annual Convention Meeting.  Payments shall be in the amount to be established at the annual December Planning Meeting.

            SECTION 2. Income for the Region

  1. Annual Dues – The Regional Board of Governors may determine at the regional Meeting prior to the December Planning Meeting the amount of the initiation fee, if any, and the annual dues payable to the Regional Treasury by the Regional Clubs.
  2. Payment of Dues – Dues shall be payable in advance of the commencement of the annual December Planning Meeting.
  3. Default – When any member Club shall be in default in the payment of dues, the Regional Competition director will not approve sanction or non-sanction event request forms or requests for event dates at the annual December Planning Meeting or thereafter until the Club’s obligations under these bylaws have been met.

ARTICLE VI

            SECTION 1. Committees

The Executive Board of the Region shall, at any time, appoint such committees as deemed necessary.

        SECTION 2. Committee Quorum

One third (1/3) of the members of the committee present and voting shall constitute a quorum for the transaction of business.

ARTICLE VII

            SECTION 1. Convention Schedule

Upon agreement of a majority (50%+1) vote of the Board of Governors to host a Convention, the schedule shall be determined by the Region, subject to the approval of the Board of Governors.

Without an agreement of a majority (50%+1) vote of the Board of Governors, any Convention schedule is the responsibility of that/those Clubs which make and accept the Convention Bid.

            SECTION 2. Convention Proceeds

Upon agreement of a majority (50%+1) vote of the Board of Governors to host a Convention the profits from the Convention shall be shared by the Clubs of the Region participating. Any losses incurred shall be shared by the Clubs of the Region participating.

Without an agreement or a majority (50%+1) any Convention profits will be the property of that/those Clubs which accepted the Convention Bid. Any losses incurred shall be the responsibility of that/those Clubs which accepted the Convention Bid.

ARTICLE VIII

            SECTION 1. Safety Committee

The Regional Board of Governors shall comprise the Safety Committee. At any event within the Region three or more Governors, the Regional Competition Director or Regional Executive will have the authority to stop any event they feel is unsafe. The event may resume when the unsafe condition has been rectified to their satisfaction.
